Tutorly — Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Tutorly's website and services available athttps://tutorly.us (the "Service"). By accessing or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must meet the minimum age required in your jurisdiction (generally 13+) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. Your Account

Certain features require creating an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Tutorly may suspend or terminate accounts for violations of these Terms or our policies.

4. Use of the Service

You agree to use the Service only for lawful purposes and in compliance with these Terms. Prohibited activities include, but are not limited to:

• Using the Service for unlawful purposes or to violate any applicable law;
• Attempting to reverse-engineer, modify, or tamper with the Service;
• Interfering with the integrity or performance of the Service;
• Uploading or submitting any sensitive or regulated data such as personal health information (PHI), government identification numbers, financial account numbers, or other confidential information.

Tutorly is not HIPAA compliant and does not support the processing or storage of sensitive personal data.

5. Data Usage, Sharing & Privacy

5.1 User Content

"User Content" means text, files, prompts, and other data you submit when using the Service. You retain ownership of your User Content but grant Tutorly a license to use it to provide, maintain, and improve the Service.

5.2 Third-Party LLM Providers

Tutorly uses third-party large language model (LLM) and cloud providers to process User Content. By using Tutorly, you acknowledge and agree that your User Content may be transmitted to and processed by these third-party providers.

These providers may store, analyze, or otherwise use data in accordance with their own terms and privacy policies. Tutorly does not control and is not responsible for the data practices of those providers.

5.3 No Sensitive Data

You must not submit any sensitive, regulated, or confidential information through the Service (including PHI, financial account numbers, government identifiers, or trade secrets). Tutorly expressly disclaims any liability for disclosures or misuse of such data.

5.4 Other Third Parties

We may share limited data with vendors who support our operations (e.g., hosting, analytics, email).

5.5 Security & Retention

We implement reasonable technical and organizational measures to protect data. However, no system is completely secure and Tutorly cannot guarantee protection against unauthorized access. We retain data as needed to operate the Service, comply with legal obligations, and resolve disputes.

6. Intellectual Property

All rights, title, and interest in and to the Service (including software, design, and trademarks) are owned by Tutorly or its licensors. You grant us a licence to process and analyse user content to provide our services.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TUTORLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US.

9. Indemnification

You agree to indemnify and hold Tutorly harmless from any claim, liability, loss, or expense arising from your use of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access at any time for violations of these Terms or for any other reason. Upon termination, your right to access the Service will end.

11. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page with an updated effective date. Continued use after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of North Carolina without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in North Carolina.
